Before you use the "Insert Online Video" function (hereinafter referred to as "this Function") of the WPS Presentation component in the WPS Office Personal Edition software (hereinafter referred to as "this Software"), you must carefully read and fully understand all the contents of this Disclaimer. Clauses involving exemption or limitation of liability, application of law and dispute resolution are highlighted in bold, please focus on reading.
Your use of this Function shall be deemed as your complete reading, understanding and acceptance of all clauses of this Disclaimer, and your agreement with Kingsoft Office on the use of this Function and related rights and obligations. If you do not agree with this Disclaimer or any of its clauses, please immediately stop using this Function.
(For the purpose of this Disclaimer, "Kingsoft Office" shall only refer to Zhuhai Kingsoft Office Software Co., Ltd., Wuhan Kingsoft Office Software Co., Ltd. or Beijing Kingsoft Office Software Co., Ltd. The specific applicable entity shall be determined by Kingsoft Office based on your actual usage scenarios and service provision relationship.
You confirm that before using this Function, you shall have the civil capacity for conduct corresponding to your acts as stipulated by the laws of the People's Republic of China. If you do not have the corresponding civil capacity for conduct, you and/or your guardian shall bear all the consequences arising therefrom in accordance with the law. If you are a minor, please use this Function only with the consent, guidance and supervision of your guardian.
Usage Norms
Function Description
After logging in to this Software with your registered WPS account or a third-party account recognized by Kingsoft Office (such as WeChat, QQ, Weibo, Xiaomi Account, etc.; the scope of recognition may be adjusted at any time, hereinafter referred to as "Third-Party Account"), you can insert and play online videos through this Function in the WPS Presentation module. You may also legally share, disseminate or display the completed PPT documents on the premise of complying with laws and regulations and this Disclaimer. WPS Account and the aforementioned Third-Party Account are collectively referred to as "Your Account".
Warranty of Content Rights and Legitimacy
Unless you provide separate evidence to prove otherwise, once you insert an online video into this Software, Kingsoft Office will reasonably deem that: you are the copyright owner of the relevant video, or have obtained complete, legal and effective authorization for acts such as insertion, pasting, display, sharing and dissemination.
You understand and agree that:
Kingsoft Office cannot control or verify the source, ownership, legitimacy, completeness and authenticity of the video content you insert;
Kingsoft Office does not assume the obligation of prior review for the video content you insert, nor make any guarantee or endorsement;
You shall independently and prudently judge and ensure that the video content is legal, compliant and fully authorized.
All disputes, claims, losses or damages (including but not limited to copyright or other intellectual property disputes, reputation infringement, privacy infringement, contract disputes, etc.) arising from errors, defects, infringement or violation of laws and regulations in the content you insert shall be borne by you in full, and Kingsoft Office shall not be liable for any responsibility.
Prohibited Content and Compliance Requirements
You promise not to insert any inappropriate content through this Function that violates the laws, regulations and policies of China, or goes against social morality and basic internet ethics and etiquette. In particular, you shall not insert videos containing the following content (including but not limited to):
Opposing the basic principles established by the Constitution;
Endangering national unification, sovereignty and territorial integrity;
Disclosing state secrets, endangering national security, damaging national honor and interests;
Inciting ethnic hatred and discrimination, undermining ethnic unity or infringing on ethnic customs and habits;
Propagating cults and superstitions;
Disturbing social order and undermining social stability;
Inducing minors to commit crimes or rendering violence, pornography, gambling and terrorist activities;
Insulting, slandering others, infringing on the legitimate rights and interests such as privacy of others;
Endangering social morality and damaging excellent cultural traditions;
Any illegal, harmful, coercive, harassing, infringing, defamatory, vulgar, obscene, slanderous, racially discriminatory or objectionable content;
Endangering minors in any way;
Other content prohibited by laws, regulations and national provisions.
If the content you insert is suspected of violating laws and regulations or infringing on the rights and interests of a third party, Kingsoft Office has the right to delete the corresponding content without further notice, and suspend or terminate your use of all or part of this Function. All consequences arising therefrom (including administrative, civil and criminal liabilities and compensation obligations to third parties) shall be borne by you. If Kingsoft Office suffers any losses (including property losses, goodwill losses, attorney fees, litigation fees, travel expenses and other reasonable rights protection expenses) as a result, you shall be responsible for eliminating the impact and bearing full compensation liability.
Prohibited Acts
You shall comply with applicable laws and regulations and regulatory provisions including but not limited to the Copyright Law of the People's Republic of China and the Regulations on the Protection of the Right to Network Dissemination of Information, and ensure not to engage in the following acts by using this Function (including but not limited to):
Forging titles or misleading others to believe that the video is uploaded by Kingsoft Office in other ways;
Inserting or disseminating video content that you have no right to handle;
Participating in any illegal or potentially illegal activities or transactions (such as teaching criminal methods, fraud, money laundering, etc.);
Gambling or inducing others to gamble;
Accessing or crawling the content of this Function by using automated programs, crawlers, data mining and other methods;
Imitating the interface or principle of this Function through technologies such as "framework" and "mirroring";
Interfering with or attempting to interfere with the normal access of any user or third party to this Function;
Spreading viruses, Trojans, worms and other malicious programs or destructive files;
Disseminating identifiable personal information or videos without consent;
Reverse engineering, decompiling, disassembling this Function or attempting to implement the above acts;
Intentionally or unintentionally violating any legally effective norms;
Other acts that Kingsoft Office reasonably deems harmful or inappropriate.
Even if the relevant video is not ultimately determined to be illegal or infringing by judicial or administrative organs, if Kingsoft Office reasonably deems that your act may violate the above provisions or receives a complaint from the right holder, it also has the right to immediately take measures such as deletion, restriction, suspension or termination.
You understand and agree that:
Kingsoft Office only provides the technical capability of "inserting online videos" in accordance with your instructions, and does not edit, select, recommend, classify, guide or review the video content you insert.
Kingsoft Office does not publish, download, store, cache or forward the video content you insert, nor tamper with the content in third-party streaming media servers. The relevant videos are independently inserted, pasted, displayed, shared and disseminated by you.
The legal relations and disputes related to the confirmation of ownership, authorization and licensing of inserting, pasting, sharing and disseminating online videos shall be handled independently by you and the relevant right holders, and Kingsoft Office shall not participate in or assume any responsibility.
All risks arising from your use of this Function shall be borne by you, and Kingsoft Office shall not make any form of guarantee for your acts or results.
To the maximum extent permitted by law, Kingsoft Office shall not be liable for any loss, damage, misappropriation or tampering of your account information, video content or documents containing such content caused by the following reasons (including but not limited to): system failure, hacker attack, virus intrusion, government control, force majeure, your active disclosure of account information or being defrauded by others, etc.
Your account is for your personal use only and shall not be lent or shared with others. Except where Kingsoft Office is at fault, all acts and consequences occurring under your account shall be borne by you.
**This Function is provided on an "as is" and "as available" basis.** Kingsoft Office does not guarantee that the service will meet all your needs, nor does it guarantee that the service will be uninterrupted or absolutely safe, accurate, timely and legal. If the service needs to be suspended for maintenance or upgrade, an announcement will be made in advance as much as possible; if the service is suspended due to line, hardware failure or force majeure, Kingsoft Office shall not be liable for any losses caused thereby.
Kingsoft Office provides this Function through facilities within the People's Republic of China, and does not guarantee the appropriateness or feasibility of its use in other countries or regions. If you use this Function in other jurisdictions, you shall independently ensure compliance with the laws and regulations, and Kingsoft Office shall not be liable for related responsibilities.
Breach Scenarios
You shall be deemed to have breached the contract if any of the following circumstances occurs:
Violating applicable laws and regulations when using this Function;
Violating the provisions of this Disclaimer or its subsequent updated versions.
You understand and agree that, to meet the needs of service operation and industry development, Kingsoft Office may formulate and adjust the standards for determining breach of contract and handling rules in accordance with laws and regulations.
Handling Measures
If you are in breach of contract, Kingsoft Office has the right to take measures including but not limited to deleting or shielding relevant content, suspending, restricting, banning or canceling the account in accordance with the rules.
If your acts inside or outside this Software affect this Software, users or third parties and constitute a breach of contract, Kingsoft Office may also take measures against you such as restricting participation in activities, suspending the provision of part or all of the services; if a fundamental breach of contract is constituted, Kingsoft Office has the right to terminate the service and ban the account.
If it is suspected of violating laws and regulations, Kingsoft Office may report to the competent authority in accordance with the law.
Liability for Compensation
If your acts cause any losses to Kingsoft Office and/or its affiliated companies (including direct economic losses, goodwill losses, external compensation, settlement payments, attorney fees, litigation fees, etc.), you shall bear full compensation liability.
If a third party claims rights against Kingsoft Office and/or its affiliated companies, Kingsoft Office has the right to recover all losses from you after assuming liability to the outside.
Kingsoft Office may modify or supplement this Disclaimer based on changes in laws and regulations or the need for function adjustment. The updated Disclaimer will be notified to you through reasonable means such as pop-up prompts, website announcements and in-site messages.
If you do not agree with the updated content, you shall stop using this Function from the effective date of the new Disclaimer; if you continue to use it after the effective date, it shall be deemed that you have accepted the updated content and are bound by it.
The conclusion, entry into force, interpretation, amendment, performance and dispute resolution of this Disclaimer shall all be governed by the laws of the People's Republic of China; if not stipulated by law, it shall be handled with reference to commercial practices or industry practices.
Any dispute arising from the use of this Function shall first be settled through negotiation between the parties; if negotiation fails, either party may file a lawsuit with the people's court at the place where the defendant is located.
If any clause of this Disclaimer is deemed invalid, abolished or unenforceable, such clause shall be deemed severable and shall not affect the validity of other clauses.
